OpenAI plans to offer Microsoft 33% of its restructured profitable division in exchange for future profit-sharing rights.

Gate News bot news, negotiations between Microsoft and OpenAI regarding the restructuring plan of its profitable division (which requires Microsoft's approval) have entered the eighth month, but the two parties have still not reached an agreement, and new conflicts have emerged. According to a person who has spoken with an OpenAI executive, OpenAI hopes that its largest external shareholder, Microsoft, will hold about 33% of the shares in the restructured department in exchange for Microsoft giving up its rights to future profit distributions.

OpenAI wishes to modify the existing contract terms with Microsoft, which grant Microsoft the exclusive right to host OpenAI models on its cloud platform. OpenAI wants its acquisition of Windsurf to be unaffected by the existing contract, which allows Microsoft access to OpenAI's IP information. OpenAI also hopes to reduce the revenue share shared with Microsoft in the coming years.
